These Terms and Conditions ("Terms") govern access to and use of Alert21 websites, accounts, APIs, dashboards, communication services and related services operated by Scriza Private Limited ("Scriza", "Alert21", "we", "us" or "our"). By creating an account, purchasing a service, accessing an API or otherwise using Alert21, you agree to these Terms together with any applicable order form, plan, policy or signed agreement.
1. Eligibility and Business Use
Alert21 is intended primarily for lawful business and organizational use. You represent that you have authority to bind the individual or entity on whose behalf you use the service and that information you provide is accurate, complete and current.
2. Accounts, Verification and KYC
We may require business, identity, tax, DLT, sender, domain, payment or other verification before enabling a service, increasing limits or enabling higher-risk use cases. You must keep account information accurate and promptly provide documents reasonably required for compliance, fraud prevention or service operations. We may refuse, limit or suspend onboarding where verification is incomplete, inconsistent, high-risk or prohibited.
3. Account Security
You are responsible for safeguarding usernames, passwords, API keys, webhook secrets and other credentials issued to your account. You must not publish secret credentials or embed them in client-side applications. Notify Alert21 immediately if you suspect unauthorized access or credential exposure.
4. Services and Availability
Service availability depends on the products enabled for your account, destination, provider or carrier capability, regulatory requirements and commercial plan. A feature shown as preview, beta, roadmap, coming soon or draft is not part of the production service unless it has been expressly enabled for your account.
5. Customer Content and Instructions
You are responsible for recipient data, message content, template variables, sender identity, links, attachments and instructions submitted through Alert21. You represent that you have the rights, permissions, consent and lawful authority required to process the data and send the communication. You must not use Alert21 to impersonate another person or organization, mislead recipients, send unlawful content or violate third-party rights.
6. India DLT and Telecom Compliance
For communication subject to India's commercial communication framework, you are responsible for completing and maintaining applicable Principal Entity registration, sender/header registration, content-template registration, consent or preference requirements and other obligations relevant to your use case. Alert21 may validate or map DLT information and may reject traffic that is unregistered, mismatched, prohibited or inconsistent with configured templates.
7. International Messaging
International messaging may require destination-specific sender registration, consent, opt-out, content, time-of-day, local-presence or other requirements. You must not send traffic into a destination until your use case is permitted and the applicable route is enabled for your account.
8. Fees, Credits, Billing and Taxes
You agree to pay all usage charges, subscription or plan fees, setup fees, regulatory or pass-through charges, taxes and other amounts shown in your plan, invoice, order form or written commercial arrangement. Where prepaid credits or wallet balances are used, charges may be applied when a message is accepted, submitted or routed according to the applicable product rules. Message segmentation, Unicode, destination and route can affect consumption. Rates may change due to provider, telecom, regulatory, tax, currency or commercial changes, with notice where reasonably possible or required.
9. Message Counting and Delivery
An API acceptance response does not guarantee final delivery. Delivery depends on carrier or provider systems, recipient device and network state, content filtering, registration, number validity and other factors outside Alert21's direct control. Multipart or Unicode SMS may consume more than one billable segment. Delivery reports may be delayed, revised or unavailable on some routes.
10. Acceptable Use, Spam and Abuse
You must comply with the Alert21 Acceptable Use Policy, Anti-Spam & Responsible Messaging Policy, DLT Compliance Policy and applicable law. Alert21 may filter, rate-limit, block, suspend or terminate traffic or accounts that create legal, security, fraud, spam, reputation, carrier or platform risk.
11. Suspension
We may suspend or restrict access where reasonably necessary for security, non-payment, verification failure, suspected fraud, regulatory request, provider or carrier requirement, abusive traffic, policy breach or material risk to Alert21, recipients or other customers. Where circumstances permit, we will attempt to communicate the reason and available remediation path.
12. Intellectual Property
Alert21 software, APIs, website design, documentation, trademarks, logos, original content and related intellectual property are owned by or licensed to Scriza Private Limited except where stated otherwise. These Terms do not transfer ownership to you. You retain rights in your own content, subject to permissions necessary for Alert21 to process it to provide the service.
13. Feedback
If you voluntarily provide product feedback, suggestions or feature ideas, you allow Scriza to use them to improve Alert21 without an obligation to compensate you, unless a separate written agreement states otherwise.
14. Confidentiality
Each party must use reasonable care to protect non-public confidential information received from the other party and use it only for the business relationship, subject to applicable law and any signed NDA or commercial agreement.
15. Privacy and Data Processing
Use of Alert21 is subject to the Privacy Policy and, where applicable, the Data Processing Addendum. Customers are responsible for notices, consent and lawful bases required for recipient data they submit.
16. Third-Party and Telecom Services
Alert21 relies on telecom operators, messaging platforms, hosting, payment processors and other third-party providers. We are not responsible for third-party acts beyond obligations expressly accepted by Alert21 in a written agreement, although we manage upstream providers as part of normal service operations.
17. Disclaimers
To the maximum extent permitted by law and unless expressly agreed otherwise in writing, Alert21 is provided on an "as available" basis. We do not guarantee uninterrupted availability, universal destination coverage, delivery of every message, regulatory approval, a particular marketing outcome, SEO ranking or compatibility with every third-party system.
18. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for loss of profits, revenue, goodwill or business opportunity, arising from the service. Except for liability that cannot legally be limited and any different liability allocation stated in a signed enterprise agreement, Alert21's aggregate liability for claims arising from the affected service will not exceed the fees actually paid by the customer to Alert21 for that affected service during the three months immediately preceding the event giving rise to the claim.
19. Indemnity
To the extent permitted by law, you will defend, indemnify and hold harmless Scriza Private Limited, Alert21 and their personnel from third-party claims arising from unlawful customer content, lack of consent or authority, spam, fraud, intellectual-property infringement, misuse of the service or violation of applicable messaging rules attributable to you or your downstream users.
20. Termination
You may stop using the service subject to outstanding fees and applicable plan or contract commitments. Alert21 may terminate or suspend access for material breach, illegality, abuse, non-payment or other grounds stated in these Terms or a signed agreement. Following termination, access may be disabled and data may be retained or deleted according to legal, security, billing and retention requirements.
21. Governing Law and Jurisdiction
Unless a signed agreement states otherwise, these Terms are governed by the laws of India. Courts having jurisdiction over the registered office of Scriza Private Limited will have jurisdiction, subject to any mandatory law that applies.
22. Changes to Terms
We may update these Terms when services, legal requirements or business practices change. The current version will display its effective date. Material changes will be communicated where required by law or contract.
